TO FORM JOINT MARKETING AGREEMENT WITH THE BOC GROUP, INC.

| BOC Gases, the industrial
gases division of The BOC Group, and Environmental Waste Management Corporation
(EWMC), a wholly owned subsidiary of Exxadon Technology Corporation, of
Toronto Canada, have announced plans to jointly market a revolutionary new
environmental technology for the processing of used tires and medical waste
and other hazardous wastes and process wastes. Financial terms were not
disclosed. The technology will be featured at Globe 96, an international trade fair and conference being held in Vancouver, Canada, on March 27-29, 1996. EWMC will display a process animation video at its booth No. 816 and will distribute information regarding strategic partnerships and licensing as well as specific EWMC systems performance data. BOC Gases will be the exclusive supplier of Nitrogen Pressure Swing Adsorption equipment (PSA), Nitrogen Rejection/Recovery Units (NRU), and bulk and cylinder gases in support of EWMC's global commercialization of this technology. ``This marketing agreement will draw upon the specific expertise of both companies,'' said Bob Ferrell, BOC Gases' director of environmental processes. ``BOC's proprietary PSA design provides cost-effective, reliable nitrogen on-site. In addition, our NRU will enable EWMC to reuse most of the nitrogen while recovering hydrocarbons from the process, which can be used to fuel generators, adding even greater efficiency to the system. EWMC's systems are a significant addition to the technologies that BOC brings to its chemical and medical sector customers.'' Thomas Fairfull, President of Exxadon/EWMC stated, ``The deal is a win-win opportunity for both companies. We believe our technology rivals or exceeds any existing technology. With BOC's marketing and R&D expertise supporting our efforts, we should be able to effectively reach the world market with this technology.'' Technology: The patented Exxadon/EWMC Microwave Rubber (Tires) Reduction Processor uses microwave energy to break down tires into carbon black (comparable to N990 Thermal Black), grade 4 equivalent diesel oil and steel. Because the process takes place in a nitrogen atmosphere free from oxygen, no toxic waste is produced. The process, called Reverse Polymerization, is extremely efficient, and uses the recovered diesel oil to generate electrical power. EWMC has operated a pilot plant tire facility in Ontario since September, 1994. Two full scale Model 3000 Tire Reduction Systems have been ordered for use in the United States, and the sale of several other systems are currently under negotiation. EWMC's Medical Waste Reduction System, which also uses a nitrogen atmosphere, can process from 1,200 to 1,400 pounds of biomedical and medical hazardous waste (per 400-bed hospital) in 12 to 14 hours in 100 to 200 pound batches. Each batch is reduced to approximately 20 to 60 pounds of ``environmentally friendly'' sterilized carbon residue.
