EWMC Completes Purchase of CLE Rights

Robert Bryniak, President of EWMC International Inc. (EWMC) is pleased to announce the renegotiated terms of the purchase of CLE Management Inc. (CLE). CLE is an arms length company with specific rights to the Emery Microwave Process. Under the new agreement, EWMC purchased all application and territorial rights to the patented Emery Process owned by CLE. EWMC also bought back all obligations to pay CLE any royalties on territorial rights or on production royalties. Both EWMC and CLE will forgive all debts owed between the two companies. EWMC will issue two option agreements to CLE. The first option allows CLE to purchase 500,000 shares of EWMC common shares at a market price of $1.00 and the second option allows CLE to buy an additional 500,000 shares of EWMC common shares at a market price of $1.50. Both options can be exercised for up to one year.

At the Annual Meeting in December 1999, Shareholders approved the purchase of CLE for 4,000,000 shares of EWMC. However, the Board decided to renegotiate this transaction. The Board feels that this new agreement better reflects shareholders interests without compromising share value through excess dilution. The original structure of the CLE / EWMC relationship required EWMC to pay ˝ of all licensing fees to CLE as well as a royalty of between 10% to 20% of the manufacturing costs of all machines sold in territories controlled by CLE.

According to Mr. Bryniak “This is a much better deal for EWMC. Based on the interest in our technology as well as the upcoming startup of our first sale in the UK, this agreement should save the company millions of dollars in future royalty payments”.
