EXXADON
AND CATERPILLAR POWER SYSTEMS SIGN LETTER OF INTENT FOR STRATEGIC ALLIANCE

Corporation's Chief Executive Officer, Thomas Fairfull, today announced
that its wholly owned subsidiary, EWMC Environmental Waste Management Corporation,
has entered into a letter of intent with Caterpillar Power Systems and Toromont
Caterpillar Power Systems as the supporting system packager and dealer for
cogeneration systems. This letter of intent calls for the development of
electrical generating systems utilizing the diesel fuel and methane gas
by-products produced by the EWMC Tire Reduction System. Caterpillar Power Systems joins other well known corporations, British Oxygen Corporation (formerly Canox) and Reimelt AG of Germany in becoming strategic partners of Exxadon/EWMC. Caterpillar Power Systems and Toromont Caterpillar Power Systems in conjunction with engineers at Exxadon/EWMC Ajax test facility will develop, design and engineer the cogeneration system for the EWMC Tire Reduction System. The new cogeneration system will dramatically increase the energy production efficiency by using by-product in the reduction process as a source of electrical power for the operation of the machine. The letter of intent contemplates that Caterpillar Power Systems and Toromont Caterpillar Power Systems will have the exclusive rights to manufacture, install and service the cogeneration component of the EWMC Tire Reduction throughout North America and the European common market. In exchange Caterpillar Power Systems and Toromont Caterpillar Power Systems will provide a diesel cogeneration system and a methane gas cogeneration system to EWMC for their Ajax test facility. Caterpillar Power Systems and Toromont Caterpillar Power Systems agree to pay a research and development/business development fee to EWMC which will apply only to those units sold exclusively for the EWMC Tire Reduction System. Exxadon Technology Corporation is an environmental waste management company, which through its wholly owned subsidiary, EWMC, has the exclusive rights to exploit and market a patented Microwave Reduction process as it applies to several applications throughout various parts of the world. Caterpillar Power Systems and Toromont Caterpillar Power Systems are market leaders in cogeneration systems in Ontario and North America.
